Freshworks is buying the map of every app and AI bill IT runs
SAN MATEO, California — On 12 October 2026, Freshworks Inc. (NASDAQ: FRSH), the San Mateo company behind the Freshservice IT platform, announced it has signed a definitive agreement to acquire Torii, the SaaS and AI management platform that discovers every application a company runs, ties it to real usage and cost, and tracks AI consumption down to the individual token.
The release frames the deal around a problem most IT leaders now recognise: they are being asked to govern an estate they can only partially see. SaaS and AI tools arrive faster than any team can catalogue them, and AI's consumption-based pricing has introduced, in Freshworks' words, "a cost model most finance systems were never built to track." Torii was built to remove exactly that blind spot, and Freshworks intends to make it part of the platform IT teams already use every day.
Torii arrives with strong credentials. It was named a Leader in the 2026 Gartner Magic Quadrant for SaaS Management Platforms for the third consecutive year, and counts Hearst Corporation, Groupon and Koch, Inc. among its customers. Freshworks, for its part, comes into the deal from a position of strength: record second-quarter revenue of $237.4 million, its first GAAP-profitable quarter of 2026, and a Leader placement of its own in Gartner's 2026 Magic Quadrant for IT Service Management Platforms.
Neither company has disclosed the price. What they have disclosed is a clear plan: one system of record for hardware, infrastructure, service requests, software licences and AI spend, so that IT and finance can work from the same picture. The deal is expected to close in Freshworks' fourth fiscal quarter of 2026.

Torii continuously discovers the SaaS, AI and desktop apps in use across a company. Freshworks plans to put that inventory next to the Freshservice service desk.

Part I of II
Freshservice gains the software layer it never had
The agreement, the company Freshworks is buying, and the buyer's own track record coming into it.
A definitive agreement, closing by year-end, with Torii running independently until then
Freshworks signed a definitive agreement on 12 October 2026 and expects to close in its fiscal fourth quarter. Torii's customers see no change before close.
The two announcements arrived together. Freshworks published a release headlined as extending Freshservice "into AI and software spend governance," and Torii's co-founder and CEO Uri Haramati published his own account of the decision on Torii's blog (opens in a new tab) the same day. Both confirm the same core terms: a definitive agreement has been signed, and the transaction is expected to close in Freshworks' fourth fiscal quarter of 2026, subject to customary closing conditions.
Freshworks reports on a calendar fiscal year, with its second quarter ending on 30 June, so its fourth fiscal quarter runs to 31 December 2026. That gives the deal a window of a little over eleven weeks from announcement to the expected close date.

Freshworks and Torii announced a signed definitive agreement on 12 October 2026, with close expected by 31 December 2026.
Freshworks carries $665.3 million in cash and securities into the deal
Freshworks comes to the table with a strong balance sheet. At 30 June 2026 it held $665.3 million in cash, cash equivalents, restricted cash and marketable securities, and it generated adjusted free cash flow of $57.7 million in the second quarter alone, an adjusted free cash flow margin of 24.3%. Net cash from operating activities in the same quarter was $58.5 million. That cash generation gives the company room to keep investing in Freshservice while it brings Torii into the platform, and it follows a quarter in which Freshworks also turned GAAP profitable.
Torii customers keep the same instance, roadmap and renewal terms
Haramati's post is specific about what customers can expect before the deal closes. "Between signing and closing, Torii operates as an independent company," he wrote. "Your instance, your integrations, your workflows, your support contacts and your renewal terms are exactly where they were yesterday." He added that the roadmap has not changed, that product teams are working on the same projects as the week before, and that Torii is "still shipping and still signing new customers."
As AI moves from experiment to infrastructure, Freshservice is how modern IT can govern it at scale.
Woodside's framing puts the deal squarely in the service-operations story Freshworks has been telling investors all year. "As AI moves from experiment to infrastructure," he said, "Freshservice is how modern IT can govern it at scale." The release makes the same point in product terms: the combined platform aims to bring a company's whole technology inventory, usage and spend into one place, with "visibility into every application, license, and identity running across the organization" and "faster access for employees with fewer tickets for IT." The aim is that finance and IT stop reconciling spreadsheets and start making decisions together.
Freshservice already tracks the hardware. Torii brings the software and the AI bill into the same system of record.
Torii is a three-time Gartner Leader built to answer what a company runs and what it costs
Founded in 2017 around the idea of one piece of software to manage all software, Torii now covers SaaS, identity governance and AI spend.

Torii was built so IT, finance and security could work from one shared picture of the software estate, rather than three partial ones.
Haramati's account of Torii's origins is disarmingly direct. He, Tal and Uri Nativ started the company in 2017 "with a problem we could not get anyone to care about." Software was piling up inside companies faster than any team could track, and every tool on the market covered one slice of the picture. "Nobody could answer the basic questions. What do we have? Who uses it? What does it cost?" The founders wanted "one piece of software to manage all software," and when most of the people they pitched said that was not a real category, they built it themselves.
In an earlier post, published when Torii was first named a Leader in Gartner's inaugural SaaS Management Platforms Magic Quadrant in 2025, Haramati described the alternative the founders rejected: treating wasted money, security risk, broken operations and poor employee experience as separate symptoms with separate tools. They chose instead to go after the underlying cause, unmanaged applications, which meant building on a foundation of accurate data and robust automation. The pandemic then turned SaaS from a convenience into a necessity almost overnight, and the category Torii had bet on became one every large IT team needed.
SaaS management, identity governance and an AI dashboard share one discovery engine
Today Torii's platform (opens in a new tab) is organised into three products that draw on the same discovery layer. The SaaS Management Platform continuously finds SaaS, AI and desktop apps across the estate, reclaims unused licences based on live usage data, and uses AI to ingest contracts, detect renewal clauses and alert teams before a surprise renewal lands. Identity Governance and Administration resolves human and machine identities, maps accounts and entitlements, routes access requests through owners with single or dual approvals, and keeps a full audit trail. The AI Dashboard forecasts AI spend and monitors keys, tokens and agents.
The discovery itself comes from several directions at once: direct integrations with HR, finance, contract management and identity systems, single sign-on data, and browser-level signals that reveal apps nobody expensed or approved. Torii says it is SOC 2 Type II and GDPR compliant, supports ISO 27001 requirements, and that most teams see a full picture of their SaaS and AI estate within days of connecting their core systems.
We built Torii because IT, finance, and security were each working off a different partial picture of the same problem. Freshservice already gives IT one system of record for everything it runs. Extending that to software and AI means one less blind spot, not one more dashboard.
Freddy AI Copilot is on 71% of new Freshworks enterprise deals
Freshworks enters the deal with record revenue, GAAP profitability, accelerating employee-experience growth and a fresh Gartner ITSM Leader placement.

Freshservice already runs onboarding, access requests and offboarding for its customers. Torii adds the software licences and AI tools behind each of those steps.
Freshworks published its second-quarter 2026 results on 4 August, and the numbers set the context for this deal. Total revenue was $237.4 million, up 16% from $204.7 million a year earlier. GAAP net income was $3.2 million, the company's first GAAP-profitable quarter of 2026, and non-GAAP operating margin reached 23.6%. Woodside described it as the seventh straight quarter of beating revenue estimates and the eighth consecutive quarter meeting the Rule of 40.
Two metrics in that release speak directly to the Torii thesis. Employee experience ARR, the segment that includes Freshservice, grew 24% year over year, faster than the company overall. And Freddy AI Copilot, Freshworks' embedded AI layer, is now attached to more than 71% of new enterprise deals. Woodside said customers are now "adopting and using Freddy AI" rather than simply testing it. A customer base that is adopting AI this quickly is also a customer base that needs to see, attribute and control what that AI costs.
Customers above $100,000 in ARR grew 25% to 1,746
Freshworks' growth is concentrating in larger accounts. The number of customers contributing more than $100,000 in ARR rose 25% year over year to 1,746, while those above $50,000 rose 18% to 4,091. Net dollar retention was 104%, or 105% in constant currency. These are the organisations that typically run hundreds of SaaS applications and a growing set of AI tools, and the ones for whom Torii's discovery and licence reclamation can deliver the most value.
The company raised its full-year outlook in the same release, guiding to 2026 revenue of $963.5 million to $966.5 million, growth of about 15%, and third-quarter revenue of $244.5 million to $245.5 million. That guidance was issued before the Torii agreement and does not include any contribution from it.
A Gartner ITSM Leader is buying a Gartner SaaS management Leader
On 29 July 2026, Freshworks announced it had been named a Leader in the 2026 Gartner Magic Quadrant for IT Service Management Platforms. Its release reports a customer CSAT of 97.8%, average first contact resolution of 75%, and an average go-live of under 90 days, with named Freshservice customers including Amerisure, the McLaren Formula 1 Team and New Balance. The deal therefore pairs two companies that Gartner placed in the Leaders quadrant of their respective categories in the same year.
Torii is also not Freshworks' first move to deepen the platform. The Q2 release notes that all 2026 figures include the results of the FireHydrant business, an incident management company already integrated into the group. The same quarter brought the launch of AI Agent Studio and an MCP Gateway for Freshservice, the appointment of Ryan Manning as Chief Product and Technology Officer, and FedRAMP "In Process" status for Freshservice in August. Torii extends a steady, deliberate build-out of the ServiceOps platform into the one part of the estate it did not yet cover.
Part II of II
AI spend becomes something IT can run
How token-level tracking works, where the market is heading, and the milestones between signing and close.
Torii tracks AI consumption to the token and attributes it to people and teams
Consumption pricing does not fit traditional software budgets. Torii's AI Module splits AI spend into four cost types and ties each dollar to a person.

Torii breaks an AI bill into the ways AI actually charges: seats, credits, metered API usage and vibe-coding platforms.
The Freshworks release singles out one Torii capability above the others: it "tracks AI consumption to the token, attributes it to the people and teams driving it," and forecasts where that spend is heading, so IT can charge it back, set limits and catch a spike early. That sentence describes a product Torii brought to general availability only weeks before the agreement was signed.
According to Torii's own product write-up, its AI Module reached general availability on 3 September 2026. It pulls AI usage and spend from browser-based tools, developer command-line tools, vendor admin APIs and existing integrations, then cross-references it against HR, identity and financial data to give one live view of who is using what, what it costs, and whether it is paying off. Torii's annual benchmark, covering 2025, found 694 new AI-native apps, and 26 of the top 50 shadow apps it observed were pure-play AI.
Subscriptions, credits, API usage and vibe coding are tracked separately
- Subscriptions. The seats a company pays for every month, with a subscription efficiency metric showing how much value each licence delivers.
- On-demand credits. Usage that runs past a plan's included allowance.
- API and platform costs. Metered model usage, with billed costs for Cursor, OpenAI, Claude Platform and Claude.ai synced daily from vendor admin APIs.
- Vibe coding. Credits on app-building platforms such as Lovable, with each internal app mapped to the systems it connects to.
Torii observes that as an AI programme matures, spend tends to shift from subscriptions toward API and on-demand usage. That shift is precisely what makes AI hard to budget for: a seat licence is a known annual number, while token consumption moves with every new workflow, agent and power user. Finance-aligned reporting periods and CSV exports are designed to bring that moving number into the same planning cycle as the rest of the software budget.
Claude Code, Gemini CLI and Codex usage is visible with prompt contents off by default
Some of the heaviest AI usage in a company never touches a browser. Torii tracks token usage from developer tools including Claude Code, Gemini CLI, Codex CLI and GitHub Copilot Chat in VS Code, recording the user, model, input and output tokens for each session. The company is explicit about developer trust: prompt contents are off by default, model responses are never collected, and there is no keystroke logging or screen recording. Rollout can run through MDM tools such as Jamf, Kandji, Intune and JumpCloud, through an existing OpenTelemetry collector, or with a one-line install for a pilot. It also flags idle AI seats, revoking or reassigning them through automated workflows, including a ChatGPT Enterprise integration that can manage members and roles directly.
Gartner expects SaaS management adoption to climb from under 30% to over 70% by 2028
A nearly $9 billion ITSM market is converging with a SaaS management category that Gartner expects most organisations to adopt within three years.

Gartner describes unified asset visibility as a prerequisite for AI-driven automation in IT operations.
Both companies cite Gartner, and read together the two sets of figures explain the timing. In its 2026 ITSM Magic Quadrant, as quoted by Freshworks, Gartner states that the IT service management platforms market "reached nearly $9 billion in 2025, growing 13.74% year over year," and remains the largest segment of the IT operations value management market. The same report notes that asset visibility "has evolved toward a unified data fabric that connects ITSM, asset and operational data, becoming a prerequisite for effective automation and AI-driven decision making."
On the SaaS management side, the 2025 Gartner Magic Quadrant quoted by Torii projects that through 2028 more than 70% of organisations will centralise SaaS application management using a SaaS management platform, up from less than 30% in 2025. It also projects that organisations without centralised visibility will overspend on SaaS by at least 25% through 2027, due to unused entitlements and overlapping tools. Torii puts the average organisation at more than 600 apps, most of them shadow IT.
SaaS management is moving inside the service desk
The combination of those projections is the strategic logic of the deal. A category that most organisations have not yet adopted, but that Gartner expects most to adopt within three years, is being folded into a platform that tens of thousands of IT teams already use daily. For Freshworks, that turns SaaS and AI governance into a natural expansion for its installed base. For Torii's customers, it means the product they chose early now sits inside the workflows where access gets granted and offboarding happens.
Haramati made the same point from Torii's side: Freshworks "has spent years on the hardware and infrastructure side of the estate, and on the service desk that runs on top of it. The piece it has not had is software." Nine years of building that software layer, he argued, combined with Freshservice's footprint, lets IT teams "manage all of it in one place instead of stitching it together across separate tools."
A category Gartner expects most companies to adopt by 2028 is moving into a platform IT teams already open every morning.
Freshworks reports third-quarter results on 3 November, ahead of a year-end close
The next milestones are Freshworks' Q3 earnings call, the satisfaction of closing conditions, and post-close product plans both companies have promised to share.
The first public checkpoint is close at hand. Freshworks will report its third-quarter 2026 results after the market closes on Tuesday 3 November 2026, with a live webcast at 2:00 p.m. Pacific. That call is the first opportunity for management to discuss the Torii agreement with investors in detail, and the place to watch for any commentary on funding, expected contribution or integration timing.

Dates are drawn from the companies' own disclosures: the Freshworks and Torii announcements of 12 October 2026, Freshworks' results and Gartner releases, and Torii's product and company posts.
Three milestones between signing and close
- 3 November 2026. Freshworks Q3 2026 results and webcast, the first earnings call since the agreement was signed.
- Fiscal Q4 2026. Satisfaction of customary closing conditions, with close expected by 31 December 2026.
- After close. Torii and Freshworks share what they are building together; Haramati has said details will follow once the deal completes.
After close, the direction is already set out. Haramati wrote that Torii's software and AI governance "will sit next to the service desk, the CMDB, and the asset management those teams use every day, instead of living in a separate tool somebody has to remember to open." Freshworks describes the destination as one context across applications, licences, identities and AI spend, "so AI can understand and act on it, not just describe it." That phrase connects the deal to Freddy AI: an AI agent that can see the whole software estate can act on it, for example by reclaiming an idle licence or flagging an AI spend spike, rather than only answering questions about it.
Both companies have been clear that existing Torii customers keep their current service through the transition, and Haramati closed his post by thanking the customers who "brought Torii in when this problem was not on anyone's priority list."
Frequently asked questions
How strong is Freshworks' balance sheet going into the deal?
Freshworks held $665.3 million in cash, cash equivalents, restricted cash and marketable securities at 30 June 2026, and generated $57.7 million of adjusted free cash flow in the second quarter of 2026.
When will the acquisition close?
Freshworks expects the deal to close in its fourth fiscal quarter of 2026, subject to customary closing conditions. Freshworks' fiscal year follows the calendar year, so the fourth quarter ends on 31 December 2026.
What does Torii do?
Torii is a SaaS and AI management platform. It continuously discovers the applications, AI tools and desktop apps in use across a company, links each to real usage, cost and ownership, automates onboarding, offboarding and licence reclamation, and, through its AI Module, tracks AI spend by user, team and model.
Does anything change for Torii customers right now?
No. Torii CEO Uri Haramati wrote that between signing and closing Torii operates as an independent company, and that customer instances, integrations, workflows, support contacts, renewal terms and the product roadmap are exactly as they were.
How does Torii fit with Freshservice?
Freshservice already covers the service desk, IT asset management, IT operations and the CMDB. Torii adds the software layer: which applications are actually in use, who uses them, what licences cost and what AI is running up in consumption charges. Both companies say the goal is one place to manage all of it.
Why does AI spend need its own governance?
AI tools are often priced on consumption, such as tokens, credits and API calls, rather than per seat. The Freshworks release notes that this introduces a cost model most finance systems were never built to track. Torii attributes that consumption to people and teams and forecasts where it is heading.
Has Freshworks made other recent acquisitions?
Yes. Freshworks' Q2 2026 results state that all 2026 financial figures include the results of its FireHydrant business, an incident management company it had already brought into the group. Torii follows that move into the operations and governance side of IT.
Who are Torii's founders?
Torii was started in 2017 by Uri Haramati, who is CEO, alongside co-founders Tal and Uri Nativ, according to Haramati's announcement. Post-close roles for the founders have not been announced.
