Tradeweb adds Trumid’s credit protocols for $1.97 billion
NEW YORK, United States — On 19 October 2026 Tradeweb Markets Inc. (Nasdaq: TW) announced a definitive agreement to acquire Trumid Holdings, LLC, the financial technology company behind one of the largest electronic credit trading platforms in the United States, for a purchase price of approximately $1.97 billion, subject to customary adjustments, according to Tradeweb’s announcement (opens in a new tab). The price comprises $1.75 billion for the business and approximately $220 million for tax assets being acquired. Both boards approved the transaction unanimously, and it is targeted to close in the first half of 2027, subject to regulatory approvals and customary closing conditions.
The deal joins two platforms that grew up alongside the move of bond trading from telephone to screen. Tradeweb, founded in 1996, runs electronic marketplaces for rates, credit, equities and money markets and facilitated more than $3.0 trillion in notional value traded per day on average over its past four fiscal quarters. Trumid, founded in 2014 by former traders, built a credit-only platform focused on US dollar credit, from Investment Grade and High Yield to Emerging Market bonds. Tradeweb says the combination will take it from trade inception to the secondary market on one platform. The sections below cover the terms, what Trumid built, the strategic case, the buyer and the road to closing.

Trumid’s clients trade US dollar credit, from Investment Grade and High Yield to Emerging Market bonds across four protocols in one application.

Part I of III
$1.97 billion for a credit-native platform
How the price splits, how it is paid, and what Trumid has built since 2014.
$1.75 billion for the business, $220 million for tax assets
A purchase price of approximately $1.97 billion, paid approximately $1.89 billion in cash from Tradeweb’s balance sheet and $82 million in equity, approved unanimously by both boards.
The headline figure has two parts. Tradeweb is paying $1.75 billion for the Trumid business and approximately $220 million for the tax assets that come with it, for a purchase price of approximately $1.97 billion, subject to customary adjustments. A footnote to the announcement explains that the tax asset figure is a net present value based on a 7% discount rate. Separating the two is useful for anyone benchmarking the price: the $1.75 billion is the amount attributed to the operating platform, while the balance reflects tax benefits Tradeweb expects to realise as owner.
The consideration is overwhelmingly cash. Under the terms of the agreement, Tradeweb will pay approximately $1.89 billion in cash, subject to customary adjustments, and $82 million in equity. In other words, the great majority of the price is paid in cash, with equity a small balance. Tradeweb expects to fund the cash portion primarily through cash on hand.
Cash on hand funds the great majority of the price
Funding from existing cash is a clear signal of balance-sheet strength. A buyer that can commit approximately $1.89 billion largely from its own resources keeps its capital structure simple through the regulatory review and between signing and closing. The $82 million equity component is small relative to the total. What is clear is that the transaction leans on Tradeweb’s cash generation rather than on new share issuance.
Unanimous approval from both boards and five advisory firms
The transaction has been unanimously approved by the Boards of Directors of both Tradeweb and Trumid. Morgan Stanley & Co. LLC is acting as exclusive financial adviser to Tradeweb, and Goldman Sachs & Co. LLC as exclusive financial adviser to Trumid. Fried, Frank, Harris, Shriver & Jacobson LLP and Simpson Thacher & Bartlett LLP are acting as legal advisers to Tradeweb, while Latham & Watkins LLP is legal adviser to Trumid. Tradeweb scheduled an investor conference call for 20 October 2026 at 8:30 AM EDT, with a live webcast and accompanying presentation through the Investor Relations section of its website and a replay to follow.

The boards of Tradeweb and Trumid approved the definitive agreement unanimously; it was announced on 19 October 2026.

Built by former traders, now one of the three largest US credit platforms
Founded in 2014 and live since April 2015, Trumid serves more than 1,400 traders from 1,000 institutions a month across Swarms, Attributed Trading, RFQ and Portfolio Trading, with grey-market and predictive pricing tools.
Trumid was founded in 2014 by former traders and fixed income market experts who, in the company’s words, saw an opportunity to transform credit trading through technology, design and superior user experience, according to Trumid’s own history (opens in a new tab). Their aim was to advance a traditionally voice-based credit market through digital innovation. The platform launched and executed its first trade in April 2015. In June 2016 Trumid went live with its fully in-house developed Market Center, including Swarms, a session-based anonymous all-to-all trading protocol that remains one of its signature workflows.
Scale followed. Trumid states (opens in a new tab) that it has grown into one of the three largest electronic trading platforms in the US, citing Crisil Coalition Greenwich research on US corporate bond trading in 2025. Each month, more than 1,400 traders from 1,000 buy-side and sell-side institutions transact on the platform, according to Trumid internal data as of the second quarter of 2026. Its client network spans asset managers, banks, credit hedge funds and alternative liquidity providers. The company recorded more than $1 trillion of total traded volume in 2024, and in May 2025 its Attributed Trading protocol crossed $3 trillion of total traded volume since launch.
Four protocols inside a single application
Trumid’s product is built around protocol choice. Clients can source liquidity through Trumid Swarms, Attributed Trading, RFQ and Portfolio Trading from one application, with real-time pricing, pre-trade tools, market data and post-trade analytics alongside. Attributed Trading arrived in September 2019 to support bilateral dealer-to-client trades and was extended to emerging markets in May 2021. Trumid Portfolio Trading, for list-based trades, launched in February 2023, and Request-for-Quote trading followed in June 2023. The firm added Emerging Markets bond trading in October 2020 and integrated rates automation tools in June 2022.
Grey-market leadership since 2019 and predictive bond pricing
Two parts of the Trumid story matter most for this deal. The first is the grey market, where bonds trade after they are announced but before they are formally issued. Trumid established Grey Market Trading in January 2019 and describes itself as a market-leading venue in US grey market e-trading; in August 2023 it introduced Grey RFQ, a workflow for trading and price discovery on new issues. The second is data. Trumid launched its proprietary Fair Value Model Price (FVMP) in September 2017 and released an enhanced real-time predictive version in April 2025. Trumid AutoPilot for RFQ, announced in June 2024, marked its entry into automated trading, and Trumid PT Pricer went live in May 2024 to price lists for portfolio trading.
A leadership team drawn from bank credit desks
Trumid’s leadership reflects its trading-floor origins. Founder and Co-Chief Executive Officer Ronnie Mateo created the credit trading group at Trinity Brokers and was a Managing Director at Salomon Brothers/Citibank, trading corporate and emerging markets bonds, credit default swaps and CDX indices. Co-Chief Executive Officer and President Mike Sobel, a board member since 2014 and President since 2016, previously led the High Yield Bond Trading Desk at Barclays. Chief Financial Officer and Chief Operating Officer Dan Siracuse, Chief Technology Officer Tony Schiavo and Chief Product Officer and Global Head of Sales Jason Quinn have all been on the leadership team since 2015. Trumid has been named to the Forbes Fintech 50 eight times, from 2018 to 2025.
Together, we’ll build on what we've created, accelerate innovation, and deliver an even stronger and more intelligent trading experience for our combined networks of buy and sell-side clients globally.

Trumid’s platform was developed fully in-house, with its Market Center live since June 2016.

Part II of III
One platform from new issue to secondary trading
The six benefits Tradeweb sets out, and the 30-year marketplace that is buying.
Grey markets and new issues move Tradeweb earlier in the bond lifecycle
Tradeweb sets out six benefits: a differentiated multi-protocol offering, an earlier position in the credit lifecycle, stronger dealer relationships, wider client reach, global scaling of credit innovation and year-one earnings accretion.
Tradeweb sets out six strategic and financial benefits. The first is a differentiated multi-protocol credit offering. Combining the best of the shared protocols with each platform’s unique workflows, including Tradeweb AllTrade and Trumid’s Swarms and Attributed Trading, is intended to give clients access to a broader range of liquidity pools. Tradeweb says the combined ecosystem will be enhanced with automation, AI-enabled trade decisioning tools, and differentiated data and analytics offerings. For a credit trader, that means more ways to find the other side of a trade from one screen, with the pricing and automation tools of both firms working together.
Grey markets and new issues add the first stage of a bond’s life
The second benefit is the one the announcement’s headline leads with: positioning Tradeweb earlier in the credit lifecycle. The acquisition expands Tradeweb’s capabilities into grey markets and new issue trading, positioning the company, in its words, to capitalise on increased bond issuance and continued electronification across these markets. With Trumid’s Grey Market Trading and Grey RFQ workflows, Tradeweb can serve a bond from the moment it is announced through its trading life in the secondary market. Tradeweb describes this as going from trade inception to the secondary market on one platform, a new differentiated capability for the industry.
Trumid’s grey-market workflows let Tradeweb meet a bond at announcement, not just after it starts trading.
Hedge funds and systematic traders join Tradeweb’s institutional base
The third and fourth benefits concern clients. Both organisations share a strong commitment to the dealer community and maintain deep relationships with leading global banks, which Tradeweb expects to accelerate adoption and help bring new solutions to market. On the buy side, Tradeweb’s established partnership with the largest institutional investors across asset classes complements Trumid’s strong footprint with hedge funds and systematic market participants. The two client bases fit together rather than duplicate each other: Tradeweb brings the largest asset managers, Trumid brings faster-moving trading firms, and both bring the dealers that provide liquidity.
The fifth benefit is geographic. Combining Tradeweb’s global reach, with more than 3,000 clients in more than 85 countries, with Trumid’s nimble approach to US product development is intended to scale credit innovation in both developed and emerging markets. Trumid’s emerging markets protocols, added from 2020, give that ambition a working starting point. The sixth benefit is financial: the transaction is expected to be accretive to Tradeweb’s adjusted earnings per share within the first full year following closing, with accretion expected to increase in each subsequent year as expense synergies are realised.
We believe U.S. credit represents a significant long-term growth opportunity, particularly as the market continues to embrace electronic execution.

Tradeweb expects to capitalise on increased bond issuance and continued electronification across grey markets and new issue trading.
A 30-year marketplace that moves more than $3 trillion a day
Founded in 1996 and listed on Nasdaq, Tradeweb operates electronic marketplaces across rates, credit, equities and money markets for more than 3,000 clients in more than 85 countries.
Tradeweb Markets Inc. was founded in 1996 and is listed on Nasdaq under the ticker TW. It describes itself as a leading global operator of electronic marketplaces for rates, credit, equities and money markets. The company provides access to markets, data and analytics, electronic trading, straight-through processing and reporting for more than 50 products, serving clients in the institutional, wholesale, retail and corporates markets. Its technology is designed to enhance price discovery, order execution and trade workflows while allowing greater scale and helping reduce risk in client trading operations.
Scale is Tradeweb’s defining feature. On average, it facilitated more than $3.0 trillion in notional value traded per day over the past four fiscal quarters, for more than 3,000 clients in more than 85 countries. Credit is one of its four asset class pillars, alongside rates, equities and money markets. Adding Trumid deepens the credit pillar specifically in US dollar corporate and emerging market bonds, the segments Trumid focuses on, while giving Trumid’s protocols access to a client base of more than 3,000, compared with the 1,000 institutions active on Trumid today.

Tradeweb facilitated more than $3.0 trillion in notional value traded per day on average over its past four fiscal quarters.
Billy Hult frames US credit as a long-term growth opportunity
Tradeweb’s Chief Executive Officer, Billy Hult, described the acquisition as an important step forward in Tradeweb’s ambition to make credit markets more efficient and give clients smarter ways to access liquidity. He said Tradeweb believes US credit represents a significant long-term growth opportunity, particularly as the market continues to embrace electronic execution and as clients seek increasingly sophisticated solutions to navigate liquidity and achieve better outcomes. He called Trumid an innovative platform well positioned for where the market is headed, and said that bringing the capabilities together under Tradeweb will accelerate innovation, broaden client solutions and create an even more differentiated trading experience.
The fit is cultural as well as commercial. The announcement notes that both firms share a strong and established commitment to technology and innovation, and that their highly complementary trading protocols were developed through close collaboration with the dealer community. Trumid’s product, technology and sales teams combine seasoned software engineers, data scientists and product developers with former traders and market specialists. That is a model Tradeweb, a firm built on dealer partnerships and electronic workflows, is well placed to absorb and scale across its global network.

Accretive from year one, closing in 2027
Synergies, approvals and the dates investors have in the calendar.
Accretive within the first full year, targeted to close in the first half of 2027
Regulatory approvals and customary conditions stand between signing and a first-half 2027 close, with Tradeweb’s Q3 2026 results on 29 October as the next scheduled update.
The transaction is subject to customary closing conditions, including the receipt of regulatory approvals, and is targeted to close in the first half of 2027. Tradeweb’s investor conference call on 20 October 2026 at 8:30 AM EDT is the first opportunity for management to walk investors through the deal, with a live webcast and presentation available through the Investor Relations section of Tradeweb’s website and a replay available afterwards for anyone who could not join live.
The next scheduled event is Tradeweb’s third-quarter 2026 results. As previously announced, the company will release those results on 29 October 2026 at approximately 7:00 AM EDT, followed by a conference call at 9:30 AM EDT. Those results will be Tradeweb’s first scheduled financial update as the announced acquirer of Trumid, and a natural moment for further colour on integration planning and the path to closing.

The transaction is subject to customary closing conditions, including regulatory approvals, and is targeted to close in the first half of 2027.
Expense synergies drive accretion that rises each year
Tradeweb’s financial case rests on two statements. First, the deal is expected to be accretive to adjusted earnings per share within the first full year after closing. Second, that accretion is expected to increase in each subsequent year as expense synergies are realised. Taken together, the announcement presents a deal designed to add to Tradeweb’s earnings per share from year one, with the benefit growing as the two platforms are brought together and costs are shared across a single credit business.
Trumid’s team carries its momentum into Tradeweb
For Trumid’s people and clients, the message is continuity and momentum. Mike Sobel said Trumid looks forward to incorporating its innovative protocols, agile technology and collaborative, client-centric approach to product development into Tradeweb’s global footprint and client network, and that the two teams share dual passions for technology and client experience. He added that he is personally excited to continue the momentum as part of the Tradeweb team, which points to Trumid’s product leadership staying engaged through the combination.
