Overview

Salesforce bets $5.66 billion on real-time customer engagement

SAN FRANCISCO AND NEW YORK, United States — On 20 October 2026, Salesforce (opens in a new tab) announced a definitive agreement to acquire Braze (opens in a new tab), the New York customer engagement platform, for approximately $5.66 billion in enterprise value. Under the terms set out in the Salesforce announcement (opens in a new tab), holders of Braze Class A common stock will receive $47.50 in cash for each share. Braze, listed on Nasdaq under the ticker BRZE, published the same release through its investor relations site (opens in a new tab), and filed a Form 8-K (opens in a new tab) describing the merger agreement in detail.

The business Salesforce is buying helps marketers respond to customer behaviour as it happens. Braze coordinates personalised experiences across mobile apps, websites, email, SMS, WhatsApp and other channels, and its cloud-native, event-streaming architecture is built for high-volume, real-time consumer engagement. According to the announcement, the platform continuously updates customer profiles and adapts customer journeys while powering trillions of messages and journey actions each year. BrazeAI, its artificial intelligence layer, adds optimisation across content, offers, channels and timing.

Salesforce frames the deal around a single idea: knowing the customer and responding at the right moment. Braze is expected to strengthen the cross-channel personalisation inside Salesforce Marketing Cloud, at the scale needed to reach hundreds of millions of people, and to complement every layer of the Salesforce platform. The transaction is expected to close in Salesforce's fiscal year 2028, subject to approval by Braze's shareholders and the receipt of required regulatory approvals. Salesforce says there is no anticipated change to its fiscal 2027 guidance.

A $47.50 cash offer for Braze

The price, the structure and the protections written into the merger agreement.

01Chapter 1

$47.50 a share, all in cash

Salesforce will pay $47.50 in cash for each Braze Class A share, an enterprise value of approximately $5.66 billion, through a merger with a wholly owned Salesforce subsidiary.

The structure is a conventional one-step cash merger. According to Braze's Form 8-K (opens in a new tab), Braze entered into an Agreement and Plan of Merger with Salesforce, Inc. and Banff Acquisition Sub Inc., a Delaware corporation and wholly owned subsidiary of Salesforce. At closing, Banff Acquisition Sub will merge with and into Braze, and Braze will continue as the surviving corporation, wholly owned by Salesforce. Each outstanding share, other than dissenting, cancelled or converted shares, will be converted into the right to receive $47.50 in cash, without interest.

The Braze board unanimously approved the merger agreement and the transactions it contemplates, and recommends that shareholders vote in favour. Concurrently with signing, certain Braze stockholders entered into a voting and support agreement with Salesforce, under which they agree to vote their shares in favour of the merger, subject to the terms of that agreement. Support agreements of this kind give the buyer early visibility on the shareholder vote and give the remaining shareholders a clear signal of support from existing holders.

A $300,000,000 reverse fee backs the regulatory path

The merger agreement allocates risk through two termination fees. If the agreement is terminated in certain circumstances where the regulatory conditions are not met, Salesforce will be required to pay Braze a termination fee of $300,000,000 in cash. In the other direction, if the agreement is terminated in specified circumstances, including Braze terminating to accept a superior proposal, Braze will be required to pay Salesforce $191,390,000 in cash. The fee payable by Salesforce is the larger of the two, a clear statement of its commitment to completing the deal.

The agreement also sets a firm timetable. Either party can terminate if the merger has not been completed by the first anniversary of the agreement, subject to one extension of up to 90 days and a further extension of up to 90 days to obtain required regulatory approvals. With the agreement dated 19 October 2026, that gives the parties up to roughly eighteen months to secure clearance if both extensions are used.

02Chapter 2

Braze grows revenue 26.2% to $227.2 million

A New York customer engagement platform with 2,789 customers, a fourth straight year as a Gartner Leader and a fresh wave of AI launches.

Braze was founded and is still led by co-founders Bill Magnuson, its chief executive, and Jon Hyman. The company is headquartered in New York with 15 offices across the Americas, EMEA and APAC. According to the Salesforce announcement, Braze serves approximately 2,770 customers, including Canva (opens in a new tab), Dairy Queen, Equinox, Instacart (opens in a new tab), Urban Outfitters and Venmo (opens in a new tab), and brings deep expertise in mobile experiences, data engineering and customer engagement.

The most recent quarter shows a business accelerating. In its fiscal second quarter 2027 results (opens in a new tab), for the three months ended 31 July 2026, Braze posted revenue of $227.2 million, up 26.2% from $180.1 million a year earlier, driven primarily by new customers, expansions and renewals. Subscription revenue was $207.7 million, up from $171.8 million, and professional services and other revenue was $19.6 million, up from $8.3 million. Subscriptions therefore made up the large majority of revenue in the quarter.

Customer metrics moved in the same direction. Total customers rose to 2,789 at 31 July 2026 from 2,422 a year earlier. Customers with annual recurring revenue of $500,000 or more rose to 361 from 282, the fastest-growing group in the base. Dollar-based net retention for all customers over the trailing twelve months was 110%, up from 108%, and 112% for customers above $500,000 of ARR. Larger customers growing faster than the base is a healthy sign for an enterprise platform.

Non-GAAP operating income climbs to $22.0 million

Braze has also been improving profitability. Its GAAP operating loss narrowed to $18.1 million in the quarter, including $35.7 million of stock-based compensation expense, while non-GAAP operating income rose to $22.0 million from $6.0 million a year earlier. Net cash provided by operating activities was $24.2 million, up from $7.0 million. GAAP gross margin was 66.8% and non-GAAP gross margin 68.6%. Non-GAAP net income per diluted share was $0.19.

Contracted revenue gives visibility beyond the quarter. Remaining performance obligations were $1,092.5 million at 31 July 2026, of which $691.1 million is current, meaning it is expected to be recognised within a year. New business wins and existing customer expansions in the quarter included Boots Thailand, Chime, David Jones, Foxtel Group, Insurify, Omaze UK, Property Finder and Wilson Sporting Goods, a list that spans retail, financial services, media, insurance and property.

A Gartner Leader for the fourth consecutive year

Independent recognition arrived weeks before the deal. On 24 September 2026, Braze announced (opens in a new tab) that it had been named a Leader in the 2026 Gartner Magic Quadrant for Multichannel Marketing Hubs for the fourth consecutive year, positioned highest in Ability to Execute and furthest in Completeness of Vision among the evaluated vendors, according to the company.

Part II of III

Real-time engagement for Marketing Cloud

Why Salesforce wants Braze, and what the numbers say about the business it is buying.

03Chapter 3

Braze to strengthen all four layers of the Salesforce platform

Salesforce expects Braze's real-time engagement and AI decisioning to complement Data 360, Customer 360, Agentforce and SIForce, starting with Marketing Cloud.

Salesforce describes the fit in architectural terms. Following the close of the transaction, Braze's real-time engagement and AI decisioning capabilities are expected to complement all four layers of Salesforce's architecture: Data 360, Customer 360, Agentforce and SIForce. Within Customer 360, Braze is expected to strengthen Marketing Cloud's cross-channel personalisation, helping brands turn a deeper view of each customer into richer experiences, optimised in real time at the scale needed to reach hundreds of millions of people.

Those capabilities, the announcement says, would advance Salesforce's vision for a broader customer relationship across commerce, sales and service. The point is that a marketing message is rarely the end of a customer relationship. A shopper who responds to a push notification can then buy online, call a service team or talk to a sales representative, and Salesforce runs the systems behind many of those later moments. Braze adds the live behavioural signal and the decision about what to send next.

Most of that wow comes from knowing your customer, and responding at just the right moment. Braze was built to turn live customer behavior into personalized engagement at scale.

Patrick Stokes, President, Applications and Marketing, Salesforce

Patrick Stokes, president of applications and marketing at Salesforce, said that bringing Braze together with Salesforce Marketing Cloud, CRM and Data 360 will deliver that moment in every customer interaction. Braze's chief executive framed the deal around the people who use the product. Bill Magnuson said Braze was built on the conviction that marketers and their creativity are a brand's ultimate competitive advantage, and that the company shipped at the fastest pace in its history over the past year.

Salesforce shares our commitment to marketers, and we'll continue building as Braze and investing in the Braze community of customers and partners who built this company with us.

Bill Magnuson, CEO and Co-Founder, Braze

Four AI launches at Forge 2026 sharpen the product

The deal follows a busy month of product news. At Forge, its annual customer conference held from 28 to 30 September 2026 at Fontainebleau Las Vegas, Braze launched (opens in a new tab) Decisioning Studio Go, Agentic Standards, Operator Connect and Conversational Agents, designed to automate real-time customer journey decisioning. The company said the new capabilities were in beta and being tested by customers, with Decisioning Studio Go and Agentic Standards expected to become generally available in October. Magnuson said BrazeAI handles the experimentation, verification and execution so that marketers can focus on creativity, ambition and judgment.

At the same conference, Braze signed a strategic collaboration agreement (opens in a new tab) with Amazon Web Services to help brands deliver more relevant, personalised customer experiences at scale. As part of that agreement, Braze integrates Amazon Bedrock (opens in a new tab) into BrazeAI Agent Console, its AI agent orchestration offering. For Salesforce, which has placed Agentforce at the centre of its platform, Braze's agent orchestration work adds a consumer-scale execution layer for the decisions those agents make.

Salesforce is buying the moment of response: live behaviour in, the right message out, across every channel a consumer uses.

04Chapter 4

About six times Braze's $910.0 million to $913.0 million revenue outlook

The $5.66 billion enterprise value equals about six times Braze's fiscal 2027 revenue guidance, with no change to Salesforce's FY27 guidance.

Braze's own outlook provides the cleanest yardstick for the price. In its second-quarter release, Braze guided fiscal 2027 revenue, for the year ending 31 January 2027, of $910.0 million to $913.0 million, and non-GAAP operating income of $75.5 million to $76.5 million. For the third quarter it guided revenue of $229.0 million to $230.0 million and non-GAAP operating income of $16.0 million to $17.0 million.

Set against that range, the approximately $5.66 billion enterprise value equals about six times the revenue Braze expects to record this fiscal year, as shown in the data desk. The $1,092.5 million of remaining performance obligations at 31 July 2026 adds contracted visibility on top of that outlook. Together they describe the price of a business growing revenue at 26.2% a year with expanding non-GAAP operating income and $24.2 million of quarterly operating cash flow.

For Salesforce, the financial message is one of continuity. The company says there is no anticipated change to its fiscal 2027 guidance, that it has not yet guided fiscal 2028, and that there is no update to its long-term targets at this time. Because the deal is expected to close in fiscal 2028, Braze's contribution will appear in Salesforce's results only after completion.

A path to close in fiscal 2028

The shareholder vote, the regulatory approvals and the milestones to watch.

05Chapter 5

Shareholder vote and HSR clearance lead the path to close

Braze shareholders vote on the merger, and the deal needs Hart-Scott-Rodino clearance and other antitrust and foreign investment approvals before closing in Salesforce's fiscal 2028.

Completion depends on a short list of conditions set out in the merger agreement. They include approval of the merger by Braze stockholders, the absence of any law or order preventing the merger or imposing a burdensome condition, the expiration of the waiting period under the Hart-Scott-Rodino (opens in a new tab) Antitrust Improvements Act of 1976, as amended, the receipt of other approvals under specified antitrust and foreign investment laws, and the absence of a material adverse effect on Braze since signing.

Braze filed additional soliciting material with the SEC on 20 October 2026, and its shareholders will receive a proxy statement before the vote. The voting and support agreement signed alongside the merger agreement means a portion of the vote is already committed, subject to its terms. On the regulatory side, the outside date and its two possible 90-day extensions give the parties a structured window to work through the review.

Each side has assembled an experienced team. J.P. Morgan Securities LLC is exclusive financial adviser to Salesforce, with Wachtell, Lipton, Rosen & Katz and Covington & Burling LLP as legal counsel. Qatalyst Partners is exclusive financial adviser to Braze, and Davis Polk & Wardwell LLP is its legal counsel.

Braze customers keep their platform and gain the Salesforce stack

For the brands that use Braze today, the parties' statements point to continuity. Magnuson said the company will continue building as Braze and investing in its community of customers and partners, and that Salesforce's platform will help it innovate faster. Salesforce, for its part, describes Braze as complementing its architecture rather than replacing it, and highlights the expertise in mobile experiences and data engineering that Braze's team brings to Marketing Cloud.
