Part I of III

The agreement and the company

The cash terms, the funding and the Norwegian software business Alfa Laval is acquiring.

01The agreement

A $700 million all-cash agreement with closing expected in the first quarter of 2027

Alfa Laval will pay 700MUSD in cash for NAVTOR, funded from its own cash and existing programmes, with closing expected during quarter 1, 2027.

Alfa Laval announced the agreement on 6 November 2026 in a press release (opens in a new tab) submitted for publication at 8:30 AM under the EU Market Abuse Regulation. The release states that Alfa Laval has entered into a definitive agreement to acquire NAVTOR AS and that the consideration is paid entirely in cash. NAVTOR published its own announcement (opens in a new tab) the same day, describing the agreement as “an important milestone in NAVTOR’s journey and the beginning of an exciting new chapter for our company.” It names the seller as Accel-KKR, which it calls its capital partner since 2020.

A price of $700 million, equal to SEK 6.85 billion

The price is 700MUSD, which Alfa Laval states as 6.85 BSEK. Alfa Laval gives NAVTOR’s turnover in the same two currencies, approximately 194 MUSD or 1.89 BSEK for 2026, so readers can compare the price and the revenue base in either currency. The group describes the acquisition as “one of Alfa Laval’s most significant transactions to date” and says it establishes Alfa Laval as a leading maritime digital platform. The multiple that results from dividing the price by NAVTOR’s turnover is computed in Figure 1 and in the deal data workbook at the end of the chapters, so that no calculated number needs to be typed by hand.

Funded from Alfa Laval’s own cash and existing funding programmes

Alfa Laval says the transaction will be funded through a combination of its own cash and its existing funding programmes, and that the acquisition will be neutral to the group margin in the short term. The group’s interim report (opens in a new tab) for the third quarter of 2026, published on 27 October, gives the balance sheet context: net debt to EBITDA stood at 0.94, against 1.11 in the comparative figures, and cash flow from operating activities was SEK 3,373 million in the quarter. On 30 October 2026, a week before the announcement, Alfa Laval refinanced (opens in a new tab) its revolving credit facility with a EUR 1 billion facility that has an initial maturity of five years, an accordion feature of up to EUR 200 million and extension options of up to two years.

Closing during quarter 1, 2027 after customary regulatory approvals

The transaction is expected to close during quarter 1, 2027, after customary regulatory approvals. The window from announcement to the end of the first quarter is the runway in which those approvals are expected to be completed, and Alfa Laval has scheduled its Capital Markets Day for 18 November 2026, where it will share further information about the strategic rationale and the transaction. The agreement remains an announced transaction until it closes.

An enhanced compliance programme and deferred cover for pre-acquisition liabilities

Alfa Laval’s release also addresses compliance directly. It states: “Following a recent internal review, NAVTOR identified and reported certain compliance matters which resulted in an enhanced internal control- and compliance program.” As part of the transaction, “cover to protect Alfa Laval for these pre-acquisition liabilities has been deferred.” The release therefore records two points together: an enhanced internal control and compliance programme at NAVTOR, and the position on cover for pre-acquisition liabilities within the transaction.

The enhanced compliance program is a strong step in the right direction to meet Alfa Laval's standards and requirements, and we have confidence that the issues will be resolved.

NAVTOR brings 400 people, 13 offices and customers in more than 90 countries

NAVTOR connects ship and shore through a suite that runs from route planning and digital logbooks to fleet monitoring with AIS streaming.

NAVTOR was founded in 2011 in Egersund, Norway. On its company page (opens in a new tab) the business explains that, with “the development of ECDIS and the mandate for digital charts,” its founders saw an opportunity to transform maritime navigation. Alfa Laval describes NAVTOR as a software platform supporting e-navigation, vessel-performance solutions and onboard integrated workflows, with “broad commercial maritime coverage” and a ship-to-shore ecosystem for vessel owners and operators that makes it mission-critical across the digital maritime workflow. Headquartered in Norway, it employs 400 people across 13 offices and has customers in more than 90 countries. NAVTOR’s stated vision is leading the way in smart shipping innovation, and its mission is making life easier for shipping companies.

A connected suite for ship and shore

NAVTOR organises its products into onboard and onshore solutions (opens in a new tab). Onboard, NavStation supports route planning, Digital Logbooks replaces paper record keeping, NavBox connects vessels, fleets and facilities with the latest navigational data, and the Charts and Publications range gives access to ADMIRALTY electronic navigational charts, which NAVTOR says are based on the industry experience and expertise of UKHO. NavReporting, developed in collaboration with Veracity by DNV, supports automated verification and compliance reporting. Onshore, NavFleet provides fleet management and performance monitoring, NavTracker gives an overview of vessel and fleet chart usage, and NavTV provides a real-time feed of fleet movement.

NAVTOR provides more than solutions – we deliver a single, connected ecosystem with the power to transform your operations, workloads and overall organisational efficiency.

Digital Logbooks, trusted by 1,500+ vessels worldwide

Digital Logbooks (opens in a new tab) is NAVTOR’s type-approved paperless log-keeping product, which the company describes as already trusted by 1,500+ vessels worldwide. The vessel module is a web-based application installed onboard as a standalone application that is fully usable offline, while the office module allows onshore teams to monitor and administer the log. The product covers record books required under MARPOL, including the Oil Record Book, the Garbage Record Book and the Ballast Waterlog, alongside the official logbook and the deck logbook with checklists. Crew make deck and engine log entries from phones and tablets through NavBox, entries sync between the mobile and web apps, and a new visitor log generates QR-coded visitor badges at the gangway. NAVTOR describes the roadmap as being about greater automation, mobility and intelligence.

NavFleet (opens in a new tab) is the onshore platform that integrates onboard and onshore data sources and services for fleet management and performance-focused decision-making. It is offered at three subscription levels: Monitoring, with near real-time AIS vessel tracking; Emission and Compliance, which adds automated verification and compliance reporting for EU and UK MRV and IMO DCS; and Performance, with extended data collection, analysis and insights on vessel performance. On 30 October 2026, one week before the announcement, NavFleet 2.7.1 (opens in a new tab) introduced AIS streaming, which lets teams see vessel movements within seconds. NAVTOR’s NavFleet Platform Manager, Tor Håkon Svanes, describes the result as a new level of awareness for fleet managers, enabling “proactive decision-making.” The company says NavBox can be used to collect, package and transmit AIS data over a proprietary, low-bandwidth network, and that AIS streaming in the NavFleet App will be available from December.

NAVTOR also says it supplies products and services to over 18,000 vessels in the world fleet, a scale that connects to the 2023 combination with Voyager Worldwide described in the next chapter.

03Company history

NAVTOR’s path from a 2011 start to a platform reaching approximately 18,000 vessels

Between 2011 and 2025 NAVTOR opened offices on four continents, welcomed Accel-KKR in 2020 and completed acquisitions that built its product range.

NAVTOR’s own timeline (opens in a new tab) records a steady build. After its foundation in 2011, the company launched PAYS in 2012, signed an agreement with UKHO and launched NavBox in 2013, and opened NAVTOR Singapore and launched NavStation in 2014. In 2015 it acquired NAUTIC AB and opened NAVTOR Japan. NAVTOR UK and NAVTOR US followed in 2017, and the company records that in 2019 it became the world’s largest ENC distributor.

Accel-KKR’s majority investment in 2020 and the two acquisitions that followed

In 2020 NAVTOR received a majority investment from Accel-KKR, which gave the company, in the words of the 2023 merger announcement (opens in a new tab), access to “a financial partner to support the company in its ambitious growth plans.” NAVTOR Germany opened that year. In 2021 NAVTOR acquired Tres Solutions, a performance and analytics specialist, and opened in Denmark and Poland. In 2022 it acquired Ingenium Marine, a digital logbook pioneer.

The 2023 combination with Voyager Worldwide reached approximately 18,000 vessels

On 9 November 2023 NAVTOR and Voyager Worldwide announced that they had agreed to merge, with the combined business delivering products and solutions to approximately 18,000 vessels globally. Tor Svanes, CEO and founder of NAVTOR, called it “perhaps the biggest day in NAVTOR’s history, and a major development for the maritime technology industry.” Kent Lee, CEO of Voyager Worldwide, said the two companies would unite the maritime innovation ecosystems of Norway and Singapore. The announcement describes Voyager as recognized for its e-Navigation, vessel management, and charts and publications portfolio, with over 1000 shipping companies using its solutions and services. NAVTOR’s timeline records the acquisition of Voyager Worldwide in 2023, the same year it opened NAVTOR Hellas.

The most recent entries on the timeline are NAVTOR Turkey and NAVTOR Dubai, both opened in 2025. The company now employs 400 people across 13 offices, according to Alfa Laval’s announcement, and its customers are in more than 90 countries. The offices opened across the timeline, from Singapore in 2014 and Japan in 2015 to the United Kingdom and United States in 2017, Germany in 2020, Denmark and Poland in 2021, Hellas in 2023 and Turkey and Dubai in 2025, show a network built country by country alongside the product suite.

Part II of III

The strategy

How NAVTOR joins StormGeo and PortChain, and the financial base Alfa Laval builds from.

04Strategy

NAVTOR joins StormGeo and PortChain in one digital fleet platform inside the Ocean Division

Alfa Laval will consolidate NAVTOR with StormGeo and PortChain, covering the vessel, the route and the port call.

Alfa Laval states that NAVTOR will become part of the Ocean Division and that the NAVTOR platform will be consolidated with the StormGeo and PortChain platforms, which are already part of its digital fleet solutions portfolio. The group adds that NAVTOR’s e-navigation and performance solutions will give it “a strong product position across on-vessel software deployment as well as performance and route optimization across the global fleet.” The structure divides the ground clearly: NAVTOR is on the vessel and in the fleet office, StormGeo provides weather intelligence and voyage optimization, and PortChain connects vessels to terminals.

StormGeo supplies weather intelligence and voyage optimization

StormGeo, part of Alfa Laval, is described in the group’s product news of 30 October 2026 (opens in a new tab) as its digital arm for weather intelligence, voyage optimization and fleet performance, and as a global provider of advanced weather intelligence and decision-support solutions for shipping, energy and weather-sensitive industries. Its Voyage Intelligence offering combines voyage optimization, vessel-performance insight and expert route guidance to help operators optimize for arrival time, fuel consumption or the balance between the two. NAVTOR’s own statement describes the fit from its side: Alfa Laval brings “expertise in weather routeing, voyage optimisation and fleet performance complementing NAVTOR’s e-Navigation solutions.”

PortChain connects more than 200 terminals, over 40% of container terminal capacity

StormGeo closed its acquisition of PortChain on 30 October 2026, a week before the NAVTOR announcement. PortChain, headquartered in Copenhagen, provides berth alignment software connecting container carriers and terminals through shared, real-time port call data. Its network connects shipping lines with more than 200 terminals, representing over 40% of global container terminal capacity. PortChain will operate as an independent company under StormGeo for the next few years and will later be fully integrated into StormGeo’s portfolio, and existing customers will see no disruption to their service. The announcement describes the aim as Just-in-Time voyage optimization at scale: turning a change in the terminal plan into a timely voyage decision, so that vessels arrive closer to when the terminal is ready to receive them.

By combining weather and voyage insights with up-to-date information from ports and terminals, we can help customers plan and act with greater confidence, improve efficiency from sea to port, and make meaningful progress towards their environmental goals.

Kim Hedegaard Sørensen, Business Unit President StormGeo, 30 October 2026

What NAVTOR adds: the vessel and the fleet office

Placed beside these two platforms, NAVTOR’s products are the ones used on the bridge and in the office. NavStation supports route planning on board, Digital Logbooks records the voyage, NavBox moves data between ship and shore, and NavFleet gives onshore teams a common situational awareness across fleets. Alfa Laval’s CEO framed the acquisition as expanding the group’s digital offering “at a time when real-time decision-making is increasingly complex,” and NAVTOR’s AIS streaming release of 30 October is an example of real-time vessel visibility.

With this acquisition, Alfa Laval will expand its digital offering at a time when real-time decision-making is increasingly complex. NAVTOR’s technology and strong footprint complement our maritime digital platform and will strengthen the customer offering.

A road to SEK 100 billion in turnover by 2030 and a Capital Markets Day on 18 November

Alfa Laval’s Capital Markets Day invitation (opens in a new tab) states that President and CEO Tom Erixon and EVP CFO Fredrik Ekström will outline the company’s direction for the coming years and the road towards reaching a turnover of SEK 100 billion by 2030. The virtual event takes place on 18 November 2026 between 1.00 and 4.00 PM CET, will be recorded and published for replay, and will focus on three business areas: data centers, pumping systems and hygienic fluid handling. The NAVTOR announcement adds that Alfa Laval will share further information about the strategic rationale and the transaction at the same event.

Integration experience from Desmet in 2022 to PortChain in 2026

Integration is a familiar discipline at Alfa Laval. The group acquired Desmet in 2022, including the operational units and brands RoseDowns and Stolz, and on 5 October 2026 it initiated the full integration (opens in a new tab) of Desmet to strengthen its oils, fats and biofuel segments. StormGeo completed the PortChain acquisition on 30 October 2026, and the NAVTOR agreement followed on 6 November 2026. In each case the group describes how the acquired business fits an existing platform or segment, which is the approach it takes with NAVTOR and the Ocean Division.

06What comes next

A Capital Markets Day on 18 November and a first-quarter 2027 closing

Alfa Laval will share more at its Capital Markets Day on 18 November, and closing is expected during quarter 1, 2027 after customary regulatory approvals.

The first milestone after the announcement is Alfa Laval’s Capital Markets Day on 18 November 2026. Information on how to follow the digital event and ask questions is published from 9 November, and the event is recorded for replay on Alfa Laval’s webpage. Alfa Laval has said it will use the day to share further information about the strategic rationale and the transaction, so the group’s own account of how NAVTOR fits follows soon after the announcement.

Customary regulatory approvals before a first-quarter 2027 closing

Closing is expected during quarter 1, 2027, after customary regulatory approvals. NAVTOR has offices in 13 locations and customers in more than 90 countries, and Alfa Laval has customers in over 100 countries, which gives the two companies a broad common footprint. The agreement remains an announced transaction until it closes, and NAVTOR’s own announcement describes the planned combination as bringing together highly complementary strengths.

Dates and terms are from Alfa Laval’s announcements of 27 October, 30 October, 3 November and 6 November 2026 and NAVTOR’s announcement of 30 October 2026. Closing steps are shown as expected until completed.

What changes at closing: the Ocean Division and one consolidated platform

At closing, NAVTOR becomes part of the Ocean Division and its platform is consolidated with StormGeo and PortChain. Alfa Laval calls the acquisition neutral to group margin in the short term and says it establishes the group as a leading maritime digital platform. The PortChain announcement of 30 October offers a reference for how Alfa Laval handles an acquired digital company: PortChain operates as an independent company under StormGeo for the next few years before full integration, and existing customers see no disruption to their service. The NAVTOR release describes consolidation of the platform rather than a timetable, so the Capital Markets Day on 18 November is the occasion Alfa Laval has named for further detail.

Price, turnover and headcount: the inputs the workbook calculates from

The deal data workbook at the end of the article turns the disclosed inputs into comparable measures. It divides the price by NAVTOR’s 2026 turnover to give a price-to-revenue multiple, divides the price by NAVTOR’s 400 employees, compares NAVTOR’s team with Alfa Laval’s workforce of more than 23,500 people and relates the price in kronor to Alfa Laval’s 2025 sales of SEK 69.6 billion. Every input is quoted from a primary source and every result is computed by the page, so none is typed by hand.

Methodology and limitations

This analysis is built from Alfa Laval’s announcement of 6 November 2026, NAVTOR’s announcement of the same date, Alfa Laval’s interim report for the third quarter of 2026, Alfa Laval’s Capital Markets Day invitation and PortChain announcement, and NAVTOR’s company web pages, each retrieved at research cutoff on 8 November 2026.

Every figure is labelled by basis: company-disclosed (stated directly in a company announcement or on a company page) or calculated (worked out by Acquiry from sourced inputs, with the formula and inputs shown in the data workbook). Calculated figures compare stated amounts and are not forecasts. Where a source gives both a US dollar and a Swedish krona figure, both are shown as stated.

Acquiry’s own interpretation is marked as such throughout and is clearly separated from facts stated by the companies.

Independence. Acquiry was not engaged by any party. This is independent research from public sources and is not a solicitation, investment advice, or an offer to buy or sell any security. Acquiry holds no disclosed position in Alfa Laval AB (publ) or NAVTOR AS.
