What Legend brings to a betting data group

Genius is best known for official sports data, odds and trading services that power sportsbooks. Its filing describes about 400 league and federation relationships, about 500 sportsbook brands and more than 250 marketing customers. Legend adds the other side of the funnel: an audience.

Legend was founded over 20 years ago and describes itself as a market-leading digital media and marketing technology platform focused on monetising sports and gaming audiences. Its brands include Covers.com, Casino.org and Casino Guru, and its proprietary technology connects users with sportsbooks, gaming operators and advertisers at key points in the user journey. Genius says the combination creates “a fully integrated solution spanning content creation, audience engagement and monetization”.

Structure: cash up front, performance pay later

How the $844.4m is built

  • $607.4m in cash paid to former Legend shareholders, less a $9.4m customary closing adjustment.
  • 10.1m Genius shares valued at $4.36 each on 30 April 2026, $44.0m in total, under a six-month lock-up and orderly sell-down agreement.
  • Two earn-out tranches of up to $150m each, tied to profitability and cash flow thresholds in the first and second twelve months after closing. Genius can settle in cash or shares.
  • A call option to buy three private companies, exercisable for three months from April 2028.

Genius funded the purchase with a new credit agreement signed in April 2026: an $825m term loan maturing on 30 April 2031 at SOFR plus 2.75% to 3.50%, with a $220m revolving facility alongside it. At closing Genius also repaid a $137.7m shareholder loan that Legend owed to its former owner. The lending group includes U.S. Bank, Goldman Sachs Bank USA, Deutsche Bank and Citizens Bank, among others.

Of the purchase price, $619.9m is allocated to identifiable intangible assets: $319.1m of customer relationships, $136.8m of brands and $164.0m of technology. A further $437.7m is recorded as goodwill, which Genius attributes to expected growth in new contracted customers, new technologies and Legend’s assembled workforce.

The first full quarter: revenue up 62%, first operating profit

Genius’s third-quarter release shows how quickly Legend moved the numbers. Group revenue reached $269.9m against $166.3m a year earlier and beat the company’s $260m guidance. Media Technology, Content and Services revenue rose 126% to $116.9m, which Genius says was “primarily driven by the Legend acquisition”. Betting Technology, Content and Services grew 33% to $153.0m.

Profitability stepped up with it. Adjusted EBITDA was $87.1m, up from $34.0m, and the margin widened from 20.4% to 32.3%. Genius reported its first-ever quarter of positive income from operations at $10.4m, a $36.0m improvement on the year, and free cash flow of $54m, a 61% conversion of adjusted EBITDA.

“Legend is also creating additional commercial value, and we are seeing the benefits of our combined scale. Our strategy is working, and we are well positioned to deliver sustained growth, profitability and free cash flow.”

Europe and prediction markets in the same quarter

Europe was the biggest regional gainer. Genius booked $136.8m of European revenue in Q3 2026, up from $78.5m a year earlier, and Europe is now the largest of its three regions, ahead of the Americas at $121.6m.

Genius also used the quarter to widen its reach beyond sportsbooks. It partnered with Polymarket and Kalshi to supply content, integrity services and marketing solutions, and launched Prediction.com, a platform for comparing probabilities and event contracts. Owning a media audience gives those partners and its sportsbook customers one more channel to reach fans. Another October deal in the same space is Matchbook’s acquisition of Betdaq, where two betting exchanges combined.

What it shows about gambling M&A in 2026

The pattern is the data-and-media stack coming together. Genius already owned the official data and the trading tools; by buying an audience business it now earns from the content, the traffic and the odds in one group. Two other October 2026 reports on this desk show suppliers extending their reach: The PA’s offer for Racing and Sports, where a UK media group buys a racing data and wagering technology business, and GiG’s purchase of 888AFRICA, where a B2B platform buys an operator.

For owners of affiliate and media businesses, the deal gives a clear reference point: a scaled, profitable audience network with owned brands, technology and operator relationships can command a price that mixes cash, buyer shares and a performance earn-out.
